Germany Softens Resistance as UniCredit Nears Commerzbank Control

Berlin signals willingness to discuss UniCredit’s takeover of Commerzbank after years of opposition, as CEO Orcel targets regulatory approval by late 2026.

Germany’s federal government has quietly softened its stance on UniCredit’s acquisition of Commerzbank, opening the door to negotiations on Europe’s biggest banking deal in two decades after years of fierce political resistance.

Several government officials are now willing to discuss a potential sale of Berlin’s 12.7 percent stake in Commerzbank, provided UniCredit and the German lender agree on a common strategy first, Bloomberg reported. The shift marks a dramatic reversal for Chancellor Friedrich Merz’s administration, which had previously blocked and publicly criticised the Italian bank’s hostile approach.

From Hostile Bid to Negotiating Table

UniCredit CEO Andrea Orcel has steadily accumulated close to 50 percent of Commerzbank’s voting rights through a combination of direct purchases, derivatives, and a share buyback programme. Commerzbank Chairman Jens Weidmann acknowledged the changed reality in a recent statement, noting that the balance of power at the next annual general meeting was clear.

Commerzbank CEO Bettina Orlopp is scheduled to hold video conference talks with UniCredit executives to discuss the bank’s future under Italian ownership. The negotiations are expected to cover structural changes, risk management frameworks, and the preservation of Commerzbank’s German corporate banking relationships.

European Banking Landscape at Stake

A completed takeover would combine UniCredit’s Italian operations with Commerzbank and its German subsidiary HypoVereinsbank, creating a pan-European banking powerhouse with significant operations in Italy, Germany, and Poland. Orcel has signalled that regulatory approval could come as early as the fourth quarter of 2026, with a transformation programme beginning on January 1, 2027.

The deal faces remaining hurdles including resistance from Commerzbank employee representatives who hold 10 of the bank’s 20 board seats, and concerns about the impact on German small and medium-sized businesses that rely on Commerzbank for financing. German regulators at Bafin previously flagged UniCredit’s social media advertising about the deal as sensationalist and misleading.

The European Central Bank has long advocated for greater banking consolidation across the eurozone to create institutions capable of competing with American and Asian rivals. The UniCredit-Commerzbank combination would test whether shareholder-driven deals can overcome the national protectionism that has historically fragmented European finance.
